VURV Research Website Terms of Use

1.1 By accessing, browsing, or using the Site, you agree to these Terms of Use. If you do not agree, do not use the Site.

1.2 By creating an account, submitting a trade account application, or placing an order, you affirmatively accept these Terms of Use and the Terms and Conditions of Sale. We record the version in effect at the time of your acceptance.

1.3 If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to both you and that organization.

2.1 You must be at least twenty-one (21) years of age to use the Site or create an account.

2.2 Accounts are available only to businesses, institutions, and qualified researchers. The Site is not intended for consumers, and we do not knowingly permit account registration by individuals purchasing for personal use.

2.3 The Site is directed to users in the United States. We ship within the United States only and do not export. We make no representation that the Site or its content is appropriate or available in other locations.

2.4 The Site is not directed to children, and we do not knowingly collect information from anyone under 18.

3.1 You are responsible for the accuracy and currency of the information on your account, including your organization’s legal name, Employer Identification Number, sites, and authorized purchasers.

3.2 You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account, whether or not authorized, until you notify us at help@vurvresearch.com that a credential has been compromised. Credentials are personal to the individual to whom they are issued and may not be shared, sold, or transferred.

3.3 Approval of a trade account is at our discretion. We may decline an application without stating a reason.

3.4 We may suspend or terminate an account, refuse service, or remove content at any time, with or without notice, including where we reasonably believe there has been a breach of these Terms of Use, a breach of the Terms and Conditions of Sale, unauthorized access, or activity inconsistent with research use.

4.1 All content on the Site, including text, imagery, product data, catalog structure, specifications, documentation, page design, and software, is owned by VURV Research or its licensors and is protected by copyright, trademark, and other laws.

4.2 The VURV Research™ name, wordmark, and logo are ours and may not be used by any other entity, or in any manner likely to cause confusion, without our prior written permission.

4.3 We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site, and to print or download materials for your own internal business or research reference. No other right is granted. You may not reproduce, republish, distribute, sell, license, or exploit Site content commercially without our prior written permission.

4.4 Third-party manufacturer names, product names, and marks appearing on the Site belong to their respective owners and are used for identification only. Their appearance does not imply endorsement or affiliation.

You agree not to:

5.1 Use the Site for any unlawful purpose, or in violation of the research-use restrictions in the Terms and Conditions of Sale;

5.2 Access, or attempt to access, any account, portal, pricing, or data not intended for you, or circumvent any authentication, rate limit, or access control;

5.3 Use any robot, spider, scraper, crawler, headless browser, or other automated means to access, monitor, copy, or extract Site content, catalog data, or pricing, except for a public search engine indexing the public pages in accordance with our robots.txt;

5.4 Use Site content, catalog data, or documentation to train, fine-tune, or ground any machine learning or generative artificial intelligence model, or to build any dataset or derivative catalog, without our prior written permission;

5.5 Reverse engineer, decompile, or attempt to derive the source code or structure of any part of the Site;

5.6 Introduce malware, conduct penetration or vulnerability testing without our prior written permission, interfere with the operation of the Site, or impose an unreasonable load on our infrastructure;

5.7 Misrepresent your identity, your organization, your licensure, or your intended use of any Product;

5.8 Frame, mirror, or deep-link the Site in a manner that misrepresents its source or affiliation; or

5.9 Use the Site or any material obtained from it to promote, offer, or facilitate the administration of research materials to humans or animals.

We may investigate suspected violations and may involve and cooperate with law enforcement.

6.1 Informational only. Site content, including product descriptions, technical data, application notes, storage guidance, and support material, is provided for general informational purposes. It is not medical, clinical, veterinary, pharmaceutical, legal, tax, or regulatory advice, and it is not a recommendation as to the care or treatment of any person or animal. Nothing on the Site is intended for use in humans or animals.

6.2 Accuracy. We work to keep the Site accurate and current, but content may contain errors, omissions, or out-of-date information. Specifications, availability, lead times, and pricing may change without notice. We reserve the right to correct pricing or listing errors before an order is fulfilled, and to cancel an order affected by such an error with a full refund. The certificate of analysis for the specific lot supplied, not the Site, governs the characteristics of material you receive.

6.3 No FDA evaluation. Statements on the Site have not been evaluated by the U.S. Food and Drug Administration. Products and information are not intended to diagnose, treat, cure, or prevent any disease.

6.4 THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that it is free of viruses or other harmful components.

6.5 Third-party links. The Site may link to third-party websites, including manufacturer and laboratory resources. We do not control and are not responsible for their content, products, or privacy practices. Links do not imply endorsement.

7.1 TO THE FULLEST EXTENT PERMITTED BY LAW, VURV Research AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, RESEARCH MATERIALS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS OF USE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED DOLLARS (\$100).

7.3 TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY LOSS ARISING FROM THE MISUSE OF PRODUCTS PURCHASED THROUGH THE SITE, INCLUDING ANY ADMINISTRATION OF RESEARCH MATERIALS TO A HUMAN OR ANIMAL.

7.4 Liability for purchases is governed separately, and additionally limited, by the Terms and Conditions of Sale. Nothing in these Terms of Use excludes liability that cannot lawfully be excluded.

You will indemnify, defend, and hold harmless VURV Research and its members, officers, employees, agents, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your breach of these Terms of Use, your violation of any law or third-party right, or any activity conducted under your account.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms of Use by reference.

You consent to receive communications from us electronically, including account, order, shipping, and legal notices sent to the email address on your account. You agree that electronic communications satisfy any legal requirement that a communication be in writing. Marketing email is sent only with your opt-in consent and can be discontinued at any time using the unsubscribe link in any such message; discontinuing marketing email does not stop transactional messages relating to your orders and account.

We may revise these Terms of Use at any time by posting an updated version on the Site with a new effective date and version number. Changes take effect when posted. Your continued use of the Site after a change constitutes acceptance of the revised Terms of Use. The version in effect at the time you place an order governs that order. We maintain prior versions and will provide a copy on request.

These terms and any dispute arising from them are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any action must be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to that jurisdiction and venue. Each party waives any right to a trial by jury and any right to participate in a class or representative action.

13.1 Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.

13.2 No waiver. Our failure to enforce any provision is not a waiver of it.

13.3 Assignment. You may not assign these Terms of Use. We may assign them freely.

13.4 Entire agreement. These Terms of Use, together with the Privacy Policy and, for purchases, the Terms and Conditions of Sale, constitute the entire agreement between you and us regarding the Site.

13.5 Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.

13.6 Survival. Sections 4, 5, 6, 7, 8, 12, and 13 survive termination of your account or your use of the Site.
